Mergers and Acquisitions

Minter Ellison's M&A practice covers the full Asia Pacific region, and additionally includes involvement in major transactions in the UK and Europe. We have advised on transactions including Australia's biggest takeover (of Australia's second telco) and the redomicile of one of Australia's largest companies (News Corporation).

Our tax structuring expertise is one of the deepest in our region, and has benefited many of our M&A clients. In competition law, we have leading experts, one of whom has written a book which is a leading resource in the field and is now in its 27th edition.

Minter Ellison's presence in a number of jurisdictions (Australia, the UK, Hong Kong, New Zealand, China and Indonesia) has facilitated execution of a number of leading cross-border transactions, including AMP's demutualisation and subsequent demerger.

As well as assisting with clients' negotiation and execution strategies, we advise on transaction risk identification and allocation. Our integrated M&A teams include experts in competition law, tax structuring and acquisition finance – as client and transaction requirements dictate.

We develop negotiated or legal solutions for clients by customising or devising new approaches or techniques, including cash pools for combined cash/scrip bids, preference protected deal models, and efficient acquisition structures. We designed and implemented a novel transaction structure (allowing acceptance by buy-back) for Australia's largest takeover and a two-tiered price structure for another bid.
