Disclosure Toolkits

Working your way through the maze of financial services laws can be difficult and frustrating. Making sure that you've covered off on all of the issues in the various Acts, Regulations, Policy Statements, Class Orders and ASIC regulatory guidelines is a challenge. That's why Minter Ellison has created the Minter Ellison Disclosure Toolkits to make your job a little easier.

Our Disclosure Toolkits focus on more than 500 content requirements for preparing key disclosure documents under the FSR regime. We understand that your business may focus on certain financial products, so we have designed our Toolkits for individual financial products. We have developed separate Toolkits for each of the following products:

  • Superannuation
  • Managed Investment Schemes
  • Life Investment
  • Life Risk
  • General Insurance
  • Distribution
  • Derivatives
  • Securities
  • Margin Loans

Our complete range of Disclosure Toolkits includes checklists for the following, where relevant to that particular product:

  • Product Disclosure Statements
  • Shorter Product Disclosure Statements
  • Supplementary Product Disclosure Statements
  • IDPS Guide
  • Exit Statements
  • Periodic Statements
  • Fund Reports
  • Transaction Confirmations
  • Financial calculators
  • Incorporation by reference material
  • Advertising and other publications

The Distribution Toolkit has been specifically prepared for financial advice licensees and other intermediaries and includes checklists for a Financial Services Guide (FSG), Statement of Advice (SOA), Record of Advice (ROA), calculator, promotions, Fee Disclosure Statement (FDS) and Renewal Notice.
The electronic checklists are a practical tool for checking that your key disclosure documents comply with the requirements. Each checklist is prepared in an electronic tick-a-box format to assist in your due diligence process. The checklists are also a great knowledge management tool for product issuers and others preparing disclosure documents, because they contain links to the relevant source materials.

New version released – Version 7.1

Since our release of version 6 in July 2013, the FSR regime has continued to evolve and ASIC has been very busy in the past three years releasing, updating or amending a number of Regulatory Guides and instruments relating to disclosure.

Importantly, there have been a number of key amendments to the fees and costs disclosure requirements for the managed investment scheme and superannuation products. Just last month (28 July), ASIC denied an application for relief from a number of superannuation industry bodies for a further extension for compliance with

ASIC's updated Regulatory Guide 97 regarding disclosure of indirect costs. As a result, relevant funds will require compliant PDSs to be rolled by 1 February 2017. Our superannuation and MIS toolkits have been carefully updated to guide you through the maze of the new fees and costs disclosure requirements.

In addition to the changes to fees and costs requirements, there has been amended relief provided relating to the giving of documents electronically, an updated general insurance code of practice and the amendment of the insurance contract regulations all of which have been included in this version of our release (current as at 1 July 2016).
