  • China Construction Eighth Engineering Division Corp. Ltd – assisted with the proposed acquisition of an Australian company, including conducting legal due diligence, preparing and reviewing documents, and advising on issues related to the acquisition
  • Cook Medical – advised on its proposed investment in medical device research and development; manufacturing, trading and employment issues; and operational matters in China
  • Kajima Australia – worked on the majority acquisition of construction group Cockram Construction in Australia, New Zealand, the US, Hong Kong, the People’s Republic of China, India and other countries in Asia, including conducting due diligence in China, preparing and reviewing transaction documents, and advising on issues related to the acquisition
  • Shandong Gold – assisted with the proposed acquisition of Eldorado Pacific Pty Limited, including conducting legal due diligence and documentation reviews
  • A China Eastern Airlines subsidiary – advised in relation to a joint venture with CAE Inc., under which the subsidiary acquired a 50 per cent shareholding in CAE Oxford Aviation Academy Melbourne
  • Gloucester Coal – worked on the $8 billion merger with China’s Yanzhou Coal Mining Company, including advising on Chinese regulatory approvals and participating in negotiations with the Yanzhou team
  • Yankuang Group – supported this top Chinese state-owned enterprise in its aluminium project in China and overseas, including drafting legal documents in both English and Chinese; advising on relevant legal issues regarding mergers, land use rights and overseas investment; and conducting a legal audit
  • China Development Bank – advised on several projects, including a US$2.6 billion facility for an iron ore project in Australia; a New Zealand debt loan restructuring project; a hedging arrangement with a Chinese company; and the Sydney Metro project
  • Qantas – acted for the airline in relation to the sale of the business, commercial arrangements with service providers, investments, daily compliance issues and anti-trust issues in China
  • MaxiTRANS – assisted with the equity transfer of a joint venture from a Chinese shareholder to a foreign shareholder and then to its management team, including conducting legal due diligence, drafting transaction documents, negotiating with other parties and handling Chinese governmental approval processes
  • A hotel owner and real estate company based in Hainan Province (the parent company of which is a listed company in Hong Kong ) – participated in hotel project negotiations with a brand managed by Starwood Hotel Management Company; reviewed, modified and finalised all hotel management documents in Chinese and English; and provided legal advice on hotel investment, management and operation for the hotel owner
  • The owner of Anantara Sanya Resort & Spa in Hainan Province – assisted the client in its hotel management project with Lodging Management (Labuan) Limited, which included reviewing, modifying, negotiating and finalising all hotel management agreements
  • InterContinental Hotels Group – negotiated with more than 20 hotel owners (including the InterContinental, Crowne Plaza and Holiday Inn brands) regarding hotel management projects in mainland China; and drafted, amended and finalised all relevant documents in Chinese and English
