I am a corporate lawyer and Chartered Secretary with over 15 years of experience in mergers and acquisitions, capital market and corporate transactions (both in Australia and across various jurisdictions) and corporate governance (including risk management, company secretarial, sustainability reporting and climate governance).

My background also includes performing in-house legal functions on a number of secondments to ASX-listed clients and being a Company Secretary of both ASX-listed and unlisted companies.

I regularly advise boards and companies on Corporations Act 2001 (Cth) and ASX Listing Rules responsibilities, ASIC policies, corporate governance and risk management issues, executive remuneration, compliance frameworks, employee share schemes, foreign investment requirements and joint ventures, as well as conducting legal due diligence investigations and reporting. I also regularly act for entities registered with ACNC and TEQSA in relation to governance requirements relevant to NFP and education sectors. I have expertise in dealing with both issuers and underwriters in connection with capital raisings as well as regulators such as ASX and ASIC.

  • Regularly advise various listed entities in relation to ASX Listing Rule compliance and other corporate governance requirements.
  • Regularly advise numerous unlisted entities in relation to governance requirements in higher education and NFP sectors.
  • Assisted Vita Group Limited in relation to various transactions, including A$110 million sale of Retail Information and Communication Technology and Sprout business comprising approx. 104 Telstra retail stores to Telstra Corporation Limited.
  • Advised a public sector client on the implementation of conflict governance framework to assist the board to maintain the actual and perceived integrity of its decision making process within the parameters imposed by the relevant legislation.
  • Assisted a client with review, design and implementation of appropriate processes and procedures to enable it to successfully achieve certification against the Responsible Jewellery Council Code of Practices - an international standard on responsible business practices for the diamond, gold and platinum jewellery supply chain addressing human rights, labour rights, health and safety, environmental impact, conflict free diamonds and product disclosure.
  • Advised on a number of private and public M&A and capital raising transactions in various sectors, including resources, agribusiness, transportation, retail and infrastructure.
