I am a commercial contract and corporate advisory specialist with over 20 years' experience in commercial transactions and complex and highly technical contractual matters and corporate law for public and private companies. 

I specialise in major, high profile, high value or strategically important commercial contracts and transactions across a diverse range of industries including retail and consumer brands, manufacturing, transport and logistics, health, food and sport.

I specialise in the review, preparation and negotiation of a wide range of major, novel, high profile or high value commercial agreements including supply agreements, service agreements, distribution agreements, terms and conditions of sale, joint venture agreements, shareholder agreements, ambassador, sponsorship and marketing agreements.

My technical skills and diverse industry and transaction experience allow me to meticulously identify material issues and craft elegant, holistic, practical and commercially minded solutions to complex and major contractual issues.

I provide many of my clients with a unique outsourced general counsel model involving assistance with on-going legal review work and transaction documents which allows me to work with these clients to build trusted relationships and develop a clear understanding of my clients' businesses from a strategic and operational perspective.

  • Kennedy Watches & Jewellery Pty Ltd: advised on several high profile, major or strategically important commercial contracts including ambassador agreements for high profile sporting identities, sponsorship and marketing agreements with the Australian Football League and various boutique agreements and authorised dealer agreements with major brands including Rolex, Tudor, JLC, Panerai, IWC Schaffhausen and Cartier.
  • Kuraray Group and Plantic Technologies Limited: advised on major and complex commercial contracts including supply of goods agreements and collaborative research agreements to major supermarkets and food manufacturers.
  • Steritech Pty Ltd: advised on various product treatment service agreements.
  • Melbourne Greyhound Racing Association – drafted the first ever governing terms and conditions and template slot holder agreements for the inaugural Phoenix Race.
  • Collingwood Football Club: advised in relation to various new projects, joint venture contracts and governing rules.
  • Bellamy's Australia Limited: advised on general commercial contracting requirements, including a draft sponsorship agreement.
  • Salter Brothers Asset Management: advised on a variety of general commercial matters including a proposed property development, a services agreement for software development, licence agreements and consultancy agreements.
  • Toll Group: assisted with numerous acquisitions of logistics businesses and several commercial contracts including the negotiation of an integrated supply chain services agreement involving international freight forwarding and warehousing for a major retail customer.
  • 7-Eleven: advised on its acquisition of Mobil's Australian network of 295 retail service station sites.
  • Nippon Paper: worked on its $700 million acquisition of PaperlinX's Australian Paper mill and manufacturing business.
  • Pacific Brands: advised on the sale of key brands and businesses including preparing and negotiating the business sale agreements, transitional services agreements and supply agreements.
