MinterEllison advises Halma on $135m acquisition of Ampac group

MinterEllison's M&A team has successfully acted for London Stock Exchange and FTSE 100 listed company Halma plc on its A$135 million acquisition of the Ampac group of companies.

Halma is a leading health, safety and environmental technology group operating across four sectors: process safety, infrastructure safety, environmental and analysis, and medical. Halma employs over 6,000 people in 20 countries with major operations in Europe, the USA and Asia-Pacific.

MinterEllison utilised its teams across Australia, New Zealand and the United Kingdom to successfully guide Halma throughout all stages of the transaction. The transaction involved a complex cross-jurisdictional, hybrid share and asset sale structure which drew on MinterEllison's M&A, tax, competition, property and intellectual property expertise.

Established in 1974 and headquartered in Perth, the Ampac group manufactures fire detection systems, including fire detection panels, sounders and beacons, and voice evacuation panels, for commercial, industrial and multi-residential complexes.

They sell complete fire and evacuation systems under the Ampac brand, principally into Australia, New Zealand and the United Kingdom.

The acquisition, completed on a cash and debt free basis, will extend the geographic footprint and strengthen the intellectual property of Halma's already market-leading infrastructure safety sector.
