MinterEllison has advised Rest, one of Australia's largest profit-to-member superannuation funds, on the restructure and capitalisation of its investment in Wollemi Energy Group alongside Wollemi Capital (Wollemi).

Wollemi is a Sydney-based global growth investor focused on building real assets that become infrastructure.
The transaction involved the establishment of a new investment structure to support Rest’s continued investment in Wollemi Energy Group alongside a further capital commitment to support the growth of the platform.

As part of the transaction, Rest expanded its commitment to a total of A$250 million, while Wollemi expanded its commitment to a total of A$100 million.

MinterEllison advised Rest on all Australian legal aspects of the transaction, including the restructuring of its existing investment, due diligence, negotiation of investment and governance documentation, regulatory and financial services matters, and ACCC merger clearance.

Commenting on the investment, Philip Marquet, Superannuation Partner at MinterEllison, said:

This transaction reflects the growing role institutional capital is playing in advancing Australia's energy transition and the development of critical energy infrastructure. Rest's investment provides a strong foundation for the continued growth of Wollemi Energy Group's distributed energy platform and reflects the increasing appetite among major superannuation funds for long-term investments aligned to a lower-emissions economy."

Geread Dooley, Corporate M&A Partner at MinterEllison, added:

This was a complex transaction that involved the establishment of a new investment structure and a further capital commitment to support the continued growth of Wollemi Energy Group. We were pleased to work alongside Rest and Wollemi on a transaction that brought together expertise from across multiple practice areas and positions Wollemi Energy Group for its next phase of growth."

The MinterEllison team was co-led by Geread Dooley (Partner, Corporate M&A) and Philip Marquet (Partner and Head of Superannuation), supported by Carley Scanlan (Senior Associate, Corporate M&A), Tan Dang (Associate, Superannuation, Financial Services & Funds), William McGregor (Lawyer, Corporate M&A), and Cameron Gaw (Lawyer, Corporate M&A).

Specialist support was provided by teams across Projects, Infrastructure and Construction, Competition and Banking & Finance.
