Career highlights

My practice has been closely tied to the opening up of China and development of Hong Kong into an international financial centre in the last 4 decades, as reflected in the evolving types of work handled by me:

  • Hong Kong and overseas investors and financiers – advised on Chinese foreign direct investment projects in the 1980s, including:
    • Ping Shuo Coal Mine in Shanxi – a Sino-foreign joint venture with Occidental Petroleum that started in 1985
    • Hilton Shanghai –Shanghai's first 5-star foreign operated hotel which opened in 1988
  • Chinese government 'window companies' and ‘red chip’ companies – completed many Hong Kong IPOs and some of the earliest red chip and H-share listings in the 1990s, including:
    • China Merchants Holdings (International) Co Ltd
    • 4 Guangdong Investment Ltd group companies
    • Yuexiu Property Co Ltd and Yuexiu Transport Infrastructure Ltd
    • CSSC Offshore & Marine Engineering (Group) Co Ltd
    • Guangzhou Baiyunshan Pharmaceutical Holdings Co Ltd
  • Sino-foreign joint ventures - power plants, highways and real estate developments in mainland China – advised on semi-privatisation of SOEs and formation of privately owned joint ventures in the 2000s:
    • Multinational corporations – acquisition of/investment in many beer breweries and different light industry businesses in mainland China
    • Chinese state-owned enterprises and foreign banks – acted for Huaxia Bank in admitting Deutsche Bank and Sal. Oppenheim as investors and strategic partners; acted for IBM in teaming up with Citigroup to become the first foreign equity holders in China Guangfa Bank (then known as Guangdong Development Bank)
    • Chinese state-owned enterprises – advised on takeovers of public and private companies in Hong Kong including the takeover of TPV Technology Ltd by China Electronics Corporation
    • A large portfolio of Hong Kong listed companies – assisted with offshore mergers and acquisitions, Hong Kong capital market transactions, debt financing, other business activities and regulatory compliance
    • Hong Kong businesses – represented clients in Hong Kong IPOs, public company takeovers, reverse takeovers and restructurings
  • Hong Kong listed companies and overseas investors – advised on a large variety of M&A transactions, equity (non-IPO) and debt capital raisings, business reorganisation and restructuring in the 2010s, including award winning deals:
    • Reverse takeover and deemed new listing on HKEX of IDG Energy Investment Ltd (formerly known as Shun Cheong Holdings Ltd) involving the acquisition of a crude oil exploration and production company
    • Merger of Hong Kong and Shanghai dual-listed Guangzhou Pharmaceutical Co Ltd and Shenzhen listed Guangzhou Baiyunshan Pharmaceutical Co Ltd by absorption of the latter into the former which was then renamed as Guangzhou Baiyunshan Pharmaceutical Holdings Co Ltd, and the following RMB10bn fund raising by the merged entity
    • Acquisition by HKEX listed KuangChi Science Ltd of a controlling stake in ASX listed commercial/recreational jetpacks developer Martin Aircraft Co Ltd
