Joseph is a corporate advisory specialist who acts for a range of public and private companies in relation to their corporate and commercial requirements. In particular, his areas of practice include mergers and acquisitions, takeovers and schemes of arrangement, shareholder and joint venture arrangements, private equity and private wealth.
His recent transactions include the sale of Plantic Technologies Limited to Japanese listed company, Kuraray Co. Ltd, the sale of Acmeda to Rollease, Inc, a company owned by US private equity fund, ShoreView Industries, the acquisition of Morrison Media by Pacific Star Network Limited and the sale of Stargate Information Systems to Rubik Financial Limited.
Other transactions in which Joseph has previously acted include a number of schemes of arrangement and takeovers including the A$2.7 billion acquisition of Healthscope by TPG and The Carlyle Group, the acquisition of Golden Circle by H.J. Heinz, the privatisation of National Can Industries Limited, the takeover of Danks Holdings by Woolworths, the sale by Village Roadshow Limited of its aquarium and attractions businesses to Merlin Entertainments Group and the partial sell down by Costa Group of its fresh fruit and vegetable businesses to US private equity fund, Paine & Partners. Joseph also acted for World Oil Resources Limited in its successful application to the Takeovers Panel regarding undisclosed associations, a case that is now one of the leading cases in this area of law.
Acted for an entity associated with Gordon Merchant in its sale of Plantic Technologies Limited to Japanese listed company, Kuraray Co. Ltd (market cap US$6 billion). Plantic is a world leading innovator in bioplastics through proprietary technology that delivers biodegradable and renewed sourced alternatives to conventional plastics.
Acted for the Stargate Group in its sale of Stargate Information Systems to ASX listed company, Rubik Financial Limited. Stargate Information Systems is one of the largest independent mortgage technology service providers in the Australian mortgage broking market who provides loan processing and customer management platforms including a CRM solution to aggregators, brokers and lenders.
Acted for the founders in their sale of Acmeda to Rollease, Inc. a portfolio company of US private equity fund, Shoreview Industries. Acmeda is a leading designer, manufacturer and distributor of hardware systems and components for custom alternative window coverings. The merger creates the largest independent engineered component manufacturer and distributor in this industry.
Acted for ASX listed company, Pacific Star Network Limited, in its acquisition of Morrison Media, an independent print and digital publisher which publishes frankie, Smith Journal, Surfing Life, Slow Living and White Horses. Pacific Star Network's other businesses include SEN radio and AFL magazine, 'Inside Football'.
