MinterEllison partners Bruce Cowley and Stephen Knight recently had their book Duties of Board and Committee Members published by Thomson Reuters. The book aims to provide those concerned in the governance and direction of corporate bodies in Australia with a single, comprehensive guide to their potential risks and liabilities.

In addition to the basic directors' duties imposed by the Corporations Act and the common law, many Commonwealth and State laws (or other forms of regulation) have imposed a number of potential liabilities on directors and management committee members. There has also been an increase in the level of regulation applying to those who are engaged in the governance and direction of corporate bodies other than companies.
